Provider Terms

Machine translated. The German version is authoritative.

§ 1 Subject matter and scope

(1) These Provider Terms govern the cooperation between Endrik Reimer, trading as “Bildungszeit”, Mühsamstraße 72, 10249 Berlin (“Bildungszeit”) and course providers (“providers”) who present their Bildungsurlaub courses, that is courses eligible for statutory educational leave, on the platform bildungszeit.app (the “platform”) and receive participation enquiries.

(2) The offering is directed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code). By registering, the registering person confirms that they are acting on behalf of an education provider and not as a private individual.

(3) Deviating terms and conditions of the provider do not apply.

§ 2 Conclusion of the contract

(1) The provider registers via the provider portal. By submitting the registration it offers to conclude this contract; in doing so it is referred to these terms. The current version is available at bildungszeit.app/anbieter-agb; every version on which a contract is based also remains available at an address of its own.

(2) The contract is concluded when Bildungszeit activates the provider account after review. Bildungszeit confirms the activation by email with a link to the agreed version of these terms.

(3) There is no entitlement to activation.

§ 3 Services provided by Bildungszeit

(1) Bildungszeit provides the provider with a protected area (the “provider portal”) in which it can create, submit for publication and manage courses with dates, and presents published courses to users of the platform.

(2) Bildungszeit forwards participation enquiries from users (the “enquiries”) to the provider, supports users with the application for and the approval of their educational leave and provides a messaging function. Enquiries are non-binding for users and initially pseudonymised. When the user initiates the booking, the “booking phase” begins (§ 8 (2)): Bildungszeit sends the provider a booking request containing the participant’s name and email address and, where provided, the participant’s message; replies to this email reach the participant directly. If the provider accepts registrations via its own booking page, Bildungszeit additionally forwards the participant there. Detected contact details in messages sent via the messaging function are masked automatically in both directions until the booking request; the detection is rule-based and may miss individual details. From the booking request onwards, messages in the conversation about that course are delivered unmasked.

(3) The course contract is concluded directly between the provider and the participant, outside the platform. Bildungszeit does not become a party to the course contract and does not process course payments.

(4) Bildungszeit does not owe any intermediation success, any particular number of enquiries or bookings and any particular availability of the platform; maintenance and further development may lead to temporary restrictions.

§ 4 Courses, review and publication

(1) Bildungszeit reviews submitted courses editorially before publication, in particular for completeness, plausibility and the recognition evidence on file. In doing so, Bildungszeit also uses automated tools that check course information for irregularities in advance. If such a finding holds a course back before publication, the provider may request that a human being review it. Bildungszeit may review changes to published courses afterwards, including with these tools; the course remains published in the meantime. The review is not a legal review; responsibility for the accuracy of the information remains with the provider (§ 6).

(2) Bildungszeit may defer publication, giving reasons, until the provider supplies requested information or evidence (for example recognition notices).

(3) The provider may take published courses offline itself and resubmit them later; renewed publication requires the review under paragraph 1.

§ 5 Dormancy of the cooperation

If the provider has no published courses, the cooperation lies dormant: no costs and no performance obligations arise for the provider, and no termination is required. Obligations from enquiries already in progress and from pre-registered bookings (§ 8) as well as payment claims that have already arisen remain unaffected.

§ 6 Obligations of the provider

(1) The provider is obliged to ensure that its information is accurate, complete and up to date, in particular:

  • the information on the recognition of its courses under the educational-leave law of the respective federal state (depending on the state: Bildungsurlaub, Bildungszeit, Bildungsfreistellung or Arbeitnehmerweiterbildung) including the underlying official notices,
  • the price information; where further costs necessarily arise in addition to the course price (for example mandatory accommodation), the provider identifies them as mandatory in its course information,
  • the information on dates, availability and course content.

(2) If information changes, the provider corrects it without undue delay, in particular where a recognition is revoked or expires, where prices change, where dates are cancelled or where they are fully booked.

(3) The provider answers enquiries promptly and fulfils the statutory obligations incumbent on it towards participants (for example information and withdrawal obligations under the course contract).

(4) The provider posts only content to which it holds the necessary rights, and no unlawful content.

(5) The provider keeps its access credentials confidential and does not pass its provider account on to third parties.

(6) The provider does not offer a course on the platform at a higher price than in its own direct sales, that is via its own website, by email, by telephone or on site. The comparison is based on what a participant pays in total for the same course, the same date and the same scope of services; costs that necessarily arise count towards this. Reductions that the provider publicly offers in its direct sales, for example early-bird prices, also apply to bookings via the platform. Prices that the provider grants only to a closed group (for example regular customers, members, companies or groups) and reductions against vouchers that are not issued publicly are disregarded. The provider does not grant users who have sent it an enquiry about a course via the platform (§ 3 (2)) a price reduction for not initiating the booking of that course via the platform; this does not apply if the user made their first request for this course from the course page accessed via the offer link (§ 8 (5)). On other online platforms the provider is free to set its prices.

(7) Reasons for paragraph 6 under Article 10 of Regulation (EU) 2019/1150: the platform is free of charge for users, and Bildungszeit receives no remuneration from providers other than the commission for brokered bookings (§ 8). Paragraph 6 is intended to prevent users from finding a course on the platform, informing themselves there and applying for their educational leave, but then not initiating the booking via the platform only because the course is cheaper directly from the provider; at the same time, users should not pay more on the platform than directly from the provider. If the provider breaches paragraph 6, Bildungszeit notifies it in text form. If the provider does not remedy the breach within seven days of receiving the notice, Bildungszeit may suspend the publication of the course concerned under § 13 until the breach is remedied.

§ 7 Rights in content

(1) The provider retains all rights in its content. For the term of the contract it grants Bildungszeit the non-exclusive, royalty-free right to use the content that it posts or whose transfer to the platform it initiates (texts, images, documents, logos) for the operation and the promotion of the platform. This includes in particular: display on the platform, technical reproduction, translation, preparation for search, display in search engines and previews as well as passing on course information and recognition evidence to users and, with their application, to their employers.

(2) The right of use under paragraph 1 ends with the contract unless § 14 (4) provides otherwise; statutory retention obligations and the documentation of completed transactions remain unaffected. Bildungszeit makes documents relating to the provider's own completed transactions (in particular statements of account) available to the provider on request.

§ 8 Commission

(1) Listing courses, receiving enquiries and using the provider portal are free of charge. There is no basic fee, no listing fee and no subscription.

(2) A commission arises only for brokered bookings. A pre-registered booking (vorgemerkte Buchung) exists where a user initiates the booking via the platform after the provider has confirmed its enquiry and the user's educational leave is approved. The educational leave counts as approved in three cases: the employer confirms the approval itself via the link sent to it; the user subsequently records an approval granted outside the platform; or the approval is deemed granted under the educational-leave law of the relevant federal state. A brokered booking (vermittelte Buchung) exists where, as a result of a pre-registered booking, a course contract is concluded between the provider and the participant. Whether and when a pre-registered booking is invoiced is governed by the procedure in § 9.

(3) The commission is 4 per cent of the core course price (course price excluding accommodation) at the time of the pre-registered booking, but no more than 70 euros per booking, in each case plus VAT in accordance with § 11. The relevant price is the price that the provider states in its course information at the time of the pre-registered booking, including any VAT contained in it, and, for prices stated as “from” or “approx.”, that stated price. If the course price includes accommodation and the provider does not state a core course price, half of the course price is deemed the core course price. The commission is rounded to the nearest cent, with half a cent rounded up. Changes to the commission are announced in accordance with § 15 and apply only to bookings that are pre-registered after they take effect.

(4) For programmes limited in time or in volume, for example the founding partner programme, the conditions that Bildungszeit communicates to the provider in text form (Textform) on admission to the programme apply; waived commissions are shown in the statement of account.

(5) No commission is charged for bookings via the offer link. The offer link is the address of a course that the provider portal displays for sharing. A pre-registered booking is commission-free if the user made their first request for this course from the course page accessed via the offer link. It is not counted towards allowances under paragraph 4 and is shown in the statement of account.

§ 9 Statements of account and objection period

(1) Bildungszeit sends the provider a monthly overview by email of all bookings pre-registered in the previous month.

(2) The provider may object to any item in text form (Textform) within 14 days of receipt of the overview if the booking did not come about (“not booked”), if the item is incorrect or if a case under paragraph 5 applies. Where an objection is raised in time, the item is not invoiced or is credited. The significance of silence is pointed out in every overview: items that are not objected to in time are deemed confirmed and are invoiced.

(3) After the period has expired, a correction is possible if the provider demonstrates that the booking did not come about, that the item was incorrect or that a case under paragraph 5 has occurred; commissions already paid are then credited.

(4) If an objection proves to be unjustified, the item is re-invoiced with the next overview. Where objection patterns are conspicuous, Bildungszeit may in justified individual cases require suitable evidence that the booking did not come about (for example a confirmation that no course contract was concluded and no fee was collected). Signals from the platform (for example participation confirmations from users or from the provider) may be used for the review.

(5) No commission is payable where (a) the participant does not complete the registration after the booking request, (b) the provider cancels the course date or (c) the participant cancels free of charge. The provider may report such cases within the period under paragraph 2 or, if they occur later, informally after they occur; commissions already invoiced are credited. If the participant cancels subject to a charge or does not attend and the provider retains a fee under its own terms, the commission remains payable.

§ 10 Invoices, payment and default

(1) The provider receives an invoice for confirmed items. The invoice amount is due within 14 days of the invoice date without deduction, by bank transfer.

(2) In the event of late payment, the statutory rules apply (§§ 286, 288 BGB, in particular default interest and the flat rate under § 288 (5) BGB). If the provider is in default with not insignificant amounts despite a reminder, Bildungszeit may suspend the publication of its courses after prior notice until the outstanding amounts have been settled.

(3) The provider may set off only against claims that are undisputed, ready for decision or established by a final court decision. The provider may always set off claims to credit notes under § 9.

§ 11 Value added tax and information on the place of business

(1) All commissions are exclusive of statutory value added tax, to the extent that it is incurred.

(2) For providers with their place of business in Germany, the commission is invoiced plus German value added tax. Any value added tax exemption of the provider's course services (for example under § 4 no. 21 or 22 UStG, the German Value Added Tax Act) leaves the value added tax on the intermediation commission unaffected.

(3) For providers with their place of business in another EU member state who have supplied Bildungszeit with a valid VAT identification number, the service is not taxable in Germany and is invoiced without German value added tax; the provider is liable for the value added tax in its country of establishment (reverse charge procedure). If no valid VAT identification number is available by the time of the statement of account, Bildungszeit may invoice the commission plus German value added tax; it is corrected once a valid number has been supplied.

(4) For providers with their place of business outside the EU, the service is not taxable in Germany. The provider evidences its status as an entrepreneur by suitable documents at the latest before the first statement of account (for example a certificate from its tax authority).

(5) The provider states its country of establishment on first request, at the latest before the first statement of account, and informs Bildungszeit without undue delay of changes to its place of business or VAT identification number. Where additional tax burdens on Bildungszeit are based on incorrect, outdated or missing information from the provider (in particular German value added tax levied retrospectively together with interest), the provider indemnifies Bildungszeit accordingly.

§ 12 Order of presentation (ranking)

The order in which courses are shown to users is determined by the fit with the respective user, as long as the user does not choose a different sort order, such as by price or rating. Courses that match all of a user's filter settings are shown before courses that do not match individual filter settings; such courses appear only as a supplement and are marked as such. The main parameters are: the match with the selected learning goals, the connection to the user's occupation, the fit with the occupational role, the proximity to the desired time period and the proximity to the stated budget. Where the fit is equal, ratings and an earlier start date decide subordinately. Where a search is active, the relevance to the search term is additionally taken into account; courses that match the search term particularly closely, for example in the title, may then appear before courses with a higher fit. Fully booked dates are shown after available offerings irrespective of the fit, in so far as the provider has the availability of its course displayed. If a user opens a course via a shared link, that course may be shown first. Courses with a particularly high fit are additionally highlighted; that highlighting does not change the order. These parameters are weighted in this way because the platform is meant to show users the courses most suitable for their situation first.

§ 13 Restriction, suspension, removal and termination for objective reasons

(1) Bildungszeit may restrict or suspend the publication of individual courses or the provider account, remove content or terminate the contract under § 14 where one of the following reasons applies:

  • incorrect or misleading information, in particular on recognition or on prices,
  • unlawful content or infringements of legal provisions,
  • material or repeated breaches of these terms,
  • default in payment despite a reminder (§ 10 (2)),
  • a breach of § 6 (6) that the provider does not remedy within the period under § 6 (7) after notice (in this case only suspension of the course concerned),
  • demonstrably abusive objections under § 9,
  • manipulation of ratings or of the platform, endangerment of its security or integrity or a comparably serious breach that jeopardises the trust of users,
  • permanent discontinuation or material restructuring of the operation of the platform, or unreasonableness of continuing the cooperation.

(2) In the event of a restriction, a suspension or a removal under paragraph 1, the provider receives, to the extent legally permissible, a statement of reasons in text form at the latest when the measure takes effect, setting out the nature and extent of the measure, the relevant facts and the applicable reason and pointing out the options for challenging the decision (representations to Bildungszeit, judicial review). Measures under paragraph 1 are decided by a human being. If a measure proves to be unfounded, it is lifted without undue delay.

(3) During a suspension of the provider account, the provider cannot use the provider portal; ongoing transactions and mutual payment obligations remain in place.

§ 14 Term and termination

(1) The contract runs for an indefinite period.

(2) The provider may terminate the contract at any time in text form with immediate effect. Bildungszeit may terminate the contract in text form giving 30 days' notice; the termination is justified by stating the relevant facts and the applicable reason under § 13 (1).

(3) The right to extraordinary termination for cause remains unaffected. Bildungszeit may in particular terminate without notice where a legal obligation requires this or where the provider has repeatedly breached these terms and this is documented. An extraordinary termination is likewise justified in text form without undue delay, to the extent legally permissible; § 13 (2) applies accordingly.

(4) When the contract ends, the right to use the provider's content ends (§ 7); Bildungszeit may continue to use the content to the extent necessary for the processing under sentence 2 and may continue to display it until it is withdrawn from the platform, for which Bildungszeit has a reasonable period. Enquiries and pre-registered bookings in progress at the time the contract ends are still processed under these terms; commission claims that have arisen and the statement of account under § 9 remain unaffected.

§ 15 Changes to these terms

(1) Bildungszeit may change these terms with effect for the future. Changes are announced to the provider by email at least 15 days before they take effect; where adjustments require significant technical or commercial changes on the provider's side, a reasonably longer period applies.

(2) If the provider does not agree with a change, it may terminate the contract free of charge before the period expires. If the provider submits a new course for publication after receipt of the announcement, this is deemed a waiver of the remainder of the announcement period (Art. 3(2) of Regulation (EU) 2019/1150); the announced changes then apply from that point in time. This does not apply where a longer period is running under paragraph 1 because the change requires significant technical or commercial adjustments on the provider's side.

(3) Changes based on legal obligations or, in exceptional cases, changes made to avert an unforeseen and imminent danger in order to protect the platform, users or providers from fraud, malware, spam, data breaches or other cybersecurity risks may take effect at shorter notice.

§ 16 Liability and indemnity

(1) Bildungszeit is liable without limitation for intent and gross negligence, for damage arising from injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and other mandatory statutory provisions, as well as in the event of fraudulent concealment and within the scope of an expressly assumed guarantee. Otherwise, in cases of ordinary negligence, Bildungszeit is liable only for the breach of material contractual obligations (obligations whose fulfilment is what makes the proper performance of the contract possible in the first place and on whose observance the provider may regularly rely), limited to the foreseeable damage typical of this type of contract; liability under sentence 1 remains unaffected.

(2) The provider indemnifies Bildungszeit against claims by third parties (including participants) that are based on incorrect information or unlawful content of the provider or on a breach of its obligations under § 6, unless the provider is not responsible for the breach of duty. The indemnity covers the reasonable costs of legal defence; fines imposed on Bildungszeit are not covered by it. Bildungszeit informs the provider without undue delay of such claims and, where possible, leaves the defence to it.

§ 17 Data and data protection

(1) In the course of the cooperation, Bildungszeit processes the data that the provider makes available or that arises in connection with the provider and its courses through the use of the platform, and has access to it, in particular to master and course data including evidence, data on enquiries, pre-registered bookings and messages, platform usage data and, once statements of account are issued, accounting data. Via the provider portal, the provider has access to its own master data, courses, recognition evidence, enquiries, pre-registered bookings and messages. The provider does not receive access to the data of other providers, not even in aggregated form. Bildungszeit passes this data on only within the scope of the services under § 3, for the statement of account or on the basis of a statutory obligation. This includes passing it on to technical service providers as well as passing on course information and recognition evidence to users and, with their application, to their employers (details: privacy policy). After the contract ends, the provider is no longer entitled to access the provider portal; § 7 (2) sentence 2 applies to documents relating to the provider's own transactions.

(2) Bildungszeit and the provider are each independent controllers within the meaning of the GDPR. Personal data of users that the provider receives via the platform, in particular name and email address with the booking request (§ 3 (2)), is processed by the provider in order to initiate and perform the course contract. Any processing going beyond this, in particular for advertising purposes, is permitted only to the extent that the provider has its own legal basis for it under the GDPR.

(3) Information on the processing of data by Bildungszeit is contained in the privacy policy.

§ 18 Final provisions

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Berlin where the provider is a merchant (Kaufmann), a legal person under public law or a special fund under public law, or has no general place of jurisdiction in Germany.

(3) Declarations under these terms require text form (Textform). These terms are concluded in German; an English version serves information purposes only, the German version prevails.

(4) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.

(5) Distribution channels and partner programmes within the meaning of Art. 3(1) of Regulation (EU) 2019/1150: published courses are presented via the platform itself and may be findable via search engines (including short previews); further distribution channels of our own or partner programmes do not currently exist. Providers may address complaints to kontakt@bildungszeit.app.
